Vinson & Elkins L.L.P. seeks Associate (Sr-level)- Finance (FIN) practice group in NY NY, to represent financial institutions, lenders, project sponsors, export credit agencies, developers, investment & commercial banks & companies in complex transactions including project finance matters, project development & construction & operation & acquisition of project portfolios. Remote work permitted on occasion within commutable distance from worksite.
Requirements:
JD, LLM or foreign equivalent & 4 years' experience as Associate or related occupation. 4 years' experience must include following: drafting & negotiating term sheets, credit agreements, shareholders agreements, purchase & sale agreements & security documents as well as disclosure schedules & exhibits to credit agreements, purchase & sale agreements & security documents in context of infrastructure project finance & general corporate transactions; & drafting & reviewing project contracts such as construction contracts, customer contracts, lease agreements, operation & maintenance agreements & offtake agreements. Must have Licensure in NY, or alternatively, licensure in another jurisdiction, & eligible to obtain NY law license within 12 months.
