Provide legal services on all matters related to executive compensation & employee benefits in connection with mergers, acquisitions, sales, divestitures, consortium investments, joint ventures, minority investments, initial public offerings, SPACs, & reorganizations for public & private companies, private equity sponsors & financial advisors, including cross-border transactions.
Requires Juris Doctor or Master of Laws degree, or foreign equivalent. Must have 4 years of dedicated experience in executive compensation & employee benefits practice, including (i) advising private equity firms & public companies on tax law issues (409A, 280G, 83(b), 162(m)), securities law issues (Rule 701, 10b5-1, blue sky) & ERISA issues; (ii) negotiating & drafting incentive equity plans & award agreements for both private & public companies (profits interests, options, restricted stock units & phantom equities); (iii) negotiating & drafting employment agreements & separation agreements; (iv) preparing compensation-related disclosure for public companies, including proxy statement (CD&A, pay-for-performance tables, director compensation tables, CEO pay ratio), Form S-8 registrations, & 10-K/10-Q disclosures; & (v) researching & analyzing complex compensation & benefits regulations, including IRS notices, SEC interpretive guidance, DOL rules, & case law affecting executive pay. Must be licensed to practice law in California. Domestic travel (approximately 5%) to attend client meetings & events.
