Represent companies in FL & NY in connection w/ a wide range of matters incl corporate & securities law, w/ an emphasis on public & private equity & debt capital mkts transactions, public co. reporting, SEC & stock exchange compliance, Sarbanes-Oxley related issues, corporate governance, venture financing & M&A.
Requirements: JD, LLM or foreign equivalent degree; + 5 yrs of exp in the position offered, or as an Associate or Law Clerk-JD working w/ U.S. & non-U.S. clients on capital mkts transactions, incl initial public offerings, follow-on offerings, debt offerings, structured & project financings, & general corporate matters. Must have 5 yrs of exp working w/: public companies on a broad range of matters, incl periodic reporting obligations, SEC & stock exchange compliance & corporate governance, as well as engaging w/ regulatory bodies, incl the SEC, Nasdaq & NYSE; capital mkts transactions, Rule 144A & Regulation S offerings; & cross-border financing & corporate transactions. Must have 2 yrs of exp working w/: US & non-US early-stage companies, private & public companies, & investors in connection w/ corporate & related transactions; all stages of the corporate lifecycle, from incorporation to a liquidity event, incl equity financing rounds, cross-border M&A, & other strategic transactions; & analyzing corporate transactions using capitalization tables, incl the creation of waterfall analyses & financing round models. Must be admitted to practice law in FL & NY to advise clients on both FL & NY law. May work from home 1 day/wk. Must travel to NY & Latin America as needed, approx 2-3 times a yr for 1-2 wks per trip.
