Job Description:
Represent underwriters and/or placement agents/broker-dealers in capital markets transactions including IPOs, secondary, registered direct offerings & private placements; prepare related filings & FINRA responses. Assist public companies with listing compliance, reporting obligations & corporate governance. Communicate with & manage relationships with Mandarin-speaking clients in writing/verbally.
Requirements:
Master of Law or equivalent; NY, CT, or MA law license; plus 1 year experience as attorney or related role. Also required 1 year experience with: U.S.-China cross-border M&A & securities offerings; capital markets related work for issuers & underwriters including drafting registration statements & FINRA filings; and IPOs, secondary offerings including private placements & registered direct offerings, & filings under Securities Exchange Act of 1934. Demonstrable proficiency in Mandarin including speak/write/read legal documents for cross-border transactions & capital markets.
