Structure & maintain benefits and compensation plans & arrangements, including equity, incentive-based compensation. Prepare proxy materials & securities filings related to executive compensation matters in public companies. Design & implement executive compensation and other service provider arrangements for executives & employees. Negotiate, prepare, revise benefits-related provisions or sections in primary transaction documents, including operating agreements, merger or purchase agreements.
Requirements: JD or foreign equivalent or LLM or foreign equivalent, CA Bar, 1 year of experience in position or 1 year of alternate occupational experience performing complex benefits & compensation advisory legal duties.
