To be resp for: assisting the Chairman in carrying out their duties & responsibilities effectively; contributing to the development & implementation of the company's strategic plans & objectives; ensuring that the board operates effectively by providing guidance on governance matters & adherence to best practices; attending & actively participating in board meetings; providing valuable insights & input on key decisions; providing leadership & direction to the executive team & other senior leaders within the organization; building & maintaining relationships with key stakeholders, including in parent company, customers, partners, & regulators; assisting in identifying & mitigating risks that may affect the company's operations or reputation; overseeing the company's financial performance & ensuring that appropriate financial controls are in place; participating in succession planning for senior leadership positions, including the CEO & other key executives; ensuring compliance with legal & regulatory requirements & upholding high standards of corporate governance; serving as a representative of the company in external forums, such as industry events, conferences, & media appearances; helping to resolve conflicts or disagreements within the board or between the board & management; advising the Chairman, CEO, & other members of the leadership team on various business matters; & promoting a culture of continuous improvement within the organization, seeking opportunities to enhance operational efficiency & effectiveness.
Requirements: Must have 10 years of experience in a senior leadership role serving on a board of directors or as President, COO, Chairman, or related position. Must possess a strong understanding of corporate governance principles & best practices; financial analysis, budgeting, & forecasting; financial management & reporting; risk management principles & conflict resolution; & familiarity with financial requirements & compliance requirements.
