Exp. must incl.: Drafting, negotiating, & reviewing primary transaction docs, incl. purchase agreements, commercial agreements, commitment letters, guarantees, term sheets, rollover agreements, equity documents, & other ancillaries & deliverables; Reviewing legal diligence memos, responding to diligence requests, reviewing disclosure schedules, & coordinating w/ outside & foreign counsel; Supporting RWI processes, incl. negotiating insurance policies & binders; Advising on domestic & cross-border transactions incl. leveraged acquisitions, mergers, divestitures, exec. comp. & other general corp. matters impacting PE funders & portfolio cos. in the tech, healthcare, consumer, & business services sectors; Drafting, negotiating, & reviewing incentive equity docs, incl. employment agreements, grant agreements, subscription agreements & incentive equity plans; & Reviewing corporate legal docs to evaluate & analyze the legal risk of proposed transactions.
