Represent & advise privately held companies in connection with PE financings, VC financings, buy-side & sell-side M&A, public offerings including IPOs, direct listings & SPACs, initial coin offerings & other token issuances & debt financing transactions. Negotiate, prepare & review pertinent transaction documentation. Represent & advise founders in connection with forming early-stage companies, including negotiating with incubators, preparing equity plan related documents, preparing IP conveyance documents, preparing tax & securities filings. Represent & advise investors, including strategic investors, privately held companies, publicly held companies, accelerators, angel investors, strategic investors, VC funds, banks & PE funds, in connection with equity-based & debt-based investments & acquisition of privately held companies. Negotiate, prepare & review pertinent transaction documentation.
Requirements:
- JD or foreign equivalent or Canadian JD
- CA Bar
- 3 years of experience in position or 3 years of alternate occupational experience performing complex emerging companies & growth outside advisory legal duties
